IVAN Terms of Service

This is a summary of the Terms and Conditions governing use of IVAN (Intelligent Vendor Agentic Network), operated by ProEnergy Supply LLC (“PES”), a Wyoming LLC. This summary is provided for convenience; the full Terms govern.
1. What Is IVAN?
IVAN is an AI-powered procurement intelligence application that connects contractors and businesses with distributor inventory, pricing, and product data. IVAN operates on a proprietary closed-loop data architecture — distributor data is processed internally and never exposed to external AI models or third-party systems.
2. Account Registration
You must be 18+ with legal capacity to enter a binding agreement. If using IVAN on behalf of a company, you represent authority to bind that organization. Registration information must be accurate and current. You are responsible for account credential security and all activity under your account, whether by a person or automated agent.
3. Free Trial
IVAN offers a 30-day free trial from account activation with full access to all features. No credit card required to start. Payment information must be entered by Day 31 or access is suspended.
4. Pricing
After the free trial, IVAN uses simple annual pricing billed once per year. Each plan includes an annual allocation of AI computational resources designed to comfortably cover a full year of typical usage. If usage exceeds the annual allocation, additional usage is charged on a per-use basis at published rates.
• Annual billing only. No monthly option.
• Allocation designed to cover your full year. Most users will never exceed their included allocation.
• Overage charged per-use. If you exceed your allocation, additional usage is charged to your card on file. PES will notify you when your balance reaches 10% remaining.
• 100% money-back guarantee. If not satisfied, PES refunds the most recent annual fee in full. One-time, per subscriber.
5. AI Recommendations & Order Approval
AI recommendations and procurement suggestions are informational. You must review and confirm all orders before submission unless you have enabled pre-authorized ordering or automated agent access. IVAN output does not constitute professional engineering, legal, financial, or tax advice.
6. Orders & Transactions
IVAN connects you to distributor ERP systems. All purchase orders execute within the distributor's ERP. PES does not process, handle, or hold funds — payment is solely between you and the distributor. Your existing distributor credit terms and commercial relationships are unmodified by IVAN use.
7. Distributor Data Protection
Distributor data is proprietary and protected within the PES closed-loop architecture.
You shall not copy, scrape, harvest, or systematically collect distributor data. You shall not use distributor data for competitive intelligence, benchmarking, price comparison outside IVAN, market analysis, or resale. You shall not incorporate distributor data into any external database, analytics platform, or AI training system.
8. Data Security
• AES-256 encryption at rest, TLS 1.2+ in transit
• Enterprise-grade AWS infrastructure with SOC 2 compliance standards
• Logical isolation per account — no cross-user visibility
• Closed-loop data architecture — your data is processed internally, never sent to external AI models
• Role-based access controls reviewed semi-annually
• MFA required for all PES administrative accounts
9. Intellectual Property
IVAN, the PES intelligence layer, scoring engine, and all associated technology are the intellectual property of ProEnergy Supply LLC, protected by 49 patent claims (USPTO provisional filing, March 2026). Legal counsel: Foley & Lardner LLP.
10. Limitation of Liability
PES is not a party to purchase transactions between you and distributors. PES makes no representations regarding products, pricing, delivery, or quality. All claims related to products, pricing, availability, shipping, returns, warranties, or tax compliance shall be directed exclusively to the applicable distributor.
11. Cancellation
Cancel anytime via account settings or customer support. Access continues through the paid period. No prorated refunds except under the 100% money-back guarantee. Cancellation does not affect orders already placed; those are governed by distributor terms.
12. Governing Law
These Terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved through binding arbitration in Flathead County, Montana.
